Event Details
Hedge funds are the new competitors in the mergers and acquisitions field. With over $1 trillion in assets under management, a penchant for aggressive investment policies, a perceived need to identify new asset classes and a drive to maintain historically high rates of return, hedge funds have become the new sharks in the Mergers and Acquisitions water at a time when there is a lack of ready repellants.

Our panel of speakers will discuss this developing phenomenon, explain its long term implications, and offer guidance on traditional defensive measures against unsolicited hedge funds Mergers and Acquisitions activity. The discussion will be appropriate for anyone with a general interest in financial markets.

M. Todd Henderson, JD?98
Assistant Professor of Law, University of Chicago
Professor Henderson worked at McKinsey & Co. and Kirkland & Ellis. He is currently researching the role of hedge funds in the merger approval process. He also teaches corporate law, securities regulation, and mergers and acquisitions.

Charles M. Nathan
Corporate Partner, Latham & Watkins? New York office
Mr. Nathan is Global Co-Chair of Latham & Watkins' Mergers and Acquisitions Group. He is also co-chairman of the Annual Institute on Securities Regulation in Europe, chair of the Securities Regulation Committee of the Association of the Bar of the City of New York, and chair of the Subcommittee on Business Combinations and Proxy Statements of the American Bar Association.

Mark D. Gerstein, JD'84

Mr. Gerstein is Global Co-Chair of Latham & Watkins' M&A Group. He focuses on M&A, corporate securities and general corporate counseling. He has particular proficiency in advancing and defending both friendly and unsolicited tender offers and has similarly represented both insurgents and management in proxy contests for the control of public companies. He has represented hedge funds with positions in public companies and defended companies against activism and insurgency from hedge fund stockholders.
